Quyết định số 19/2000/QĐ-TTg ban hành ngày 03 tháng 02 năm 2000 của Thủ tướng Chính phủ là một văn bản pháp lý mang tính đột phá trong tiến trình cải cách hành chính và cải thiện môi trường đầu tư kinh doanh tại Việt Nam. Quyết định này trực tiếp bãi bỏ các loại giấy phép, giấy chứng nhận đủ điều kiện kinh doanh trái với quy định của Luật Doanh nghiệp năm 1999, khơi thông quyền tự do kinh doanh của người dân và doanh nghiệp.
Bối cảnh và mục tiêu ban hành Quyết định số 19/2000/QĐ-TTg
Sau khi Luật Doanh nghiệp năm 1999 có hiệu lực thi hành từ ngày 01 tháng 01 năm 2000, việc tồn tại hàng loạt "giấy phép con" do các Bộ, ngành và địa phương tự ý ban hành đã gây cản trở nghiêm trọng đến quyền tự do kinh doanh. Quyết định số 19/2000/QĐ-TTg được ban hành nhằm mục tiêu tối thượng là triệt tiêu các rào cản hành chính bất hợp pháp, bảo đảm tính thống nhất của hệ thống pháp luật và tạo điều kiện thuận lợi tối đa cho doanh nghiệp gia nhập thị trường.
Nội dung chi tiết các điều khoản đầu (Từ Điều 1 đến Điều 4)
- Điều 1: Bãi bỏ các loại giấy phép trái quy định của Luật Doanh nghiệp
- Quyết định tuyên bố bãi bỏ ngay lập tức các loại giấy phép, giấy chứng nhận đủ điều kiện kinh doanh, chứng chỉ hành nghề và các hình thức văn bản chấp thuận khác do các Bộ, cơ quan ngang Bộ, cơ quan thuộc Chính phủ và Ủy ban nhân dân các tỉnh, thành phố trực thuộc Trung ương ban hành trái với quy định của Luật Doanh nghiệp.
- Việc bãi bỏ này áp dụng đối với các ngành nghề mà pháp luật không cấm hoặc không yêu cầu điều kiện kinh doanh có điều kiện theo quy định của Luật Doanh nghiệp năm 1999.
- Danh mục các giấy phép bị bãi bỏ được đính kèm cụ thể, tạo cơ sở pháp lý rõ ràng để các cơ quan đăng ký kinh doanh và doanh nghiệp thực hiện mà không cần chờ đợi hướng dẫn thêm.
- Điều 2: Trách nhiệm của các Bộ, cơ quan ngang Bộ và cơ quan thuộc Chính phủ
- Các Bộ trưởng, Thủ trưởng cơ quan ngang Bộ, Thủ trưởng cơ quan thuộc Chính phủ có trách nhiệm rà soát lại toàn bộ các văn bản quy phạm pháp luật do mình ban hành hoặc trình cấp có thẩm quyền ban hành liên quan đến điều kiện kinh doanh.
- Chủ động bãi bỏ theo thẩm quyền hoặc trình Thủ tướng Chính phủ bãi bỏ, sửa đổi các quy định về giấy phép không còn phù hợp với tinh thần của Luật Doanh nghiệp.
- Nghiêm cấm việc tự ý đặt ra các loại giấy phép mới, các điều kiện kinh doanh trá hình dưới mọi hình thức gây khó khăn cho hoạt động sản xuất, kinh doanh của doanh nghiệp.
- Điều 3: Trách nhiệm của Ủy ban nhân dân các tỉnh, thành phố trực thuộc Trung ương
- Chủ tịch Ủy ban nhân dân cấp tỉnh có trách nhiệm chỉ đạo các sở, ban, ngành địa phương thực hiện nghiêm túc việc xóa bỏ các giấy phép đã bị bãi bỏ theo Điều 1 của Quyết định này.
- Tổ chức thanh tra, kiểm tra và xử lý nghiêm các tổ chức, cá nhân tại địa phương vẫn tiếp tục đòi hỏi doanh nghiệp phải xuất trình các loại giấy phép đã bị bãi bỏ khi giải quyết thủ tục hành chính.
- Đẩy mạnh công tác tuyên truyền, phổ biến rộng rãi nội dung Quyết định đến cộng đồng doanh nghiệp và người dân trên địa bàn quản lý.
- Điều 4: Hiệu lực thi hành và trách nhiệm tổ chức thực hiện
- Quyết định này có hiệu lực thi hành sau 15 ngày kể từ ngày ký ban hành (ngày 03 tháng 02 năm 2000).
- Các Bộ trưởng, Thủ trưởng cơ quan ngang Bộ, Thủ trưởng cơ quan thuộc Chính phủ, Chủ tịch Ủy ban nhân dân các tỉnh, thành phố trực thuộc Trung ương chịu trách nhiệm thi hành Quyết định này.
- Văn phòng Chính phủ phối hợp với Bộ Kế hoạch và Đầu tư, Tổ công tác của Thủ tướng Chính phủ về thi hành Luật Doanh nghiệp có trách nhiệm theo dõi, đôn đốc và kiểm tra việc thực hiện Quyết định, định kỳ báo cáo Thủ tướng Chính phủ.
Ý nghĩa thực tiễn của Quyết định số 19/2000/QĐ-TTg
Quyết định số 19/2000/QĐ-TTg được đánh giá là một "cú hích" lịch sử, mở đường cho làn sóng bùng nổ thành lập doanh nghiệp tư nhân trong những năm đầu thập niên 2000. Việc kiên quyết xóa bỏ các "giấy phép con" không chỉ giúp giảm thiểu chi phí tuân thủ cho doanh nghiệp mà còn thay đổi căn bản tư duy quản lý nhà nước từ "tiền kiểm" (kiểm tra trước khi cho phép kinh doanh) sang "hậu kiểm" (quản lý giám sát quá trình hoạt động của doanh nghiệp dựa trên các tiêu chuẩn, quy chuẩn kỹ thuật).

DECISION
ON CANCELING LICENSES AND PERMITS WHICH ARE CONTRARY TO THE LAW ON ENTERPRISES
THE PRIME MINISTER
Pursuant to the Law on Organization of the Government of September 30, 1992;
Pursuant to Law on Enterprises No.13/1999/QH10 of June 12, 1999;
At the proposal of the Minister of Planning and Investment,
DECIDES:
Article 1.- To cancel, for the immediate future, various types of business licenses, certificates of business qualifications, practice licenses, practice certificates and licenses or permits in other forms (hereinafter referred to as licenses and permits) specified in the list enclosed with this Decision.
Article 2.- Other business licenses, which are issued by the ministries, ministerial-level agencies, agencies attached to the Government and People�s Committees of the provinces and centrally-run cities not pursuant to laws, ordinances and/or decrees, but are not on the list mentioned in Article 1 of this Decision, shall be invalidated as from July 1st, 2000
For business qualifications which are deemed necessary to be granted licenses or permits, the concerned agencies shall have to propose the Government to promulgate decree(s) for implementation in strict compliance with the provisions of Article 6 of the Law on Enterprises.

Article 4.- The working team for enforcement of the Law on Enterprises shall have to inspect the implementation of this Decision.
The ministers, the heads of the ministerial-level agencies, the heads of the agencies attached to the Government and the presidents of the Peoples Committees of the provinces and centrally-run cities shall have to implement this Decision.
