Nghị định số 95-CP được Chính phủ ban hành nhằm quy định chi tiết về chức năng, nhiệm vụ, quyền hạn và cơ cấu tổ chức của Bộ Thương mại, thiết lập nền tảng pháp lý quan trọng cho công tác quản lý nhà nước đối với các hoạt động thương mại trong nước và quốc tế.
Phạm vi điều chỉnh và đối tượng áp dụng
Nghị định này điều chỉnh toàn bộ các hoạt động quản lý nhà nước trong lĩnh vực thương mại, bao gồm thương nghiệp, xuất khẩu, nhập khẩu và các dịch vụ thương mại khác. Đối tượng áp dụng trực tiếp là Bộ Thương mại, các cơ quan, tổ chức, đơn vị trực thuộc Bộ, các cơ quan quản lý nhà nước về thương mại tại địa phương, cùng các tổ chức, cá nhân tham gia hoạt động thương mại trên lãnh thổ Việt Nam.
Chức năng quản lý nhà nước của Bộ Thương mại
- Thực hiện chức năng quản lý nhà nước về thương mại trong phạm vi cả nước, bao gồm cả thương mại nội địa và thương mại quốc tế.
- Thống nhất quản lý các hoạt động xuất khẩu, nhập khẩu, lưu thông hàng hóa trong nước và các dịch vụ thương mại đi kèm nhằm bảo đảm sự phát triển ổn định của nền kinh tế.
- Chịu trách nhiệm trước Chính phủ về việc xây dựng, ban hành và tổ chức thực hiện các chính sách thương mại thống nhất trên toàn quốc.
Nhiệm vụ và quyền hạn cốt lõi của Bộ Thương mại
- Xây dựng chiến lược và quy hoạch phát triển: Nghiên cứu, soạn thảo và trình Chính phủ các dự án luật, pháp lệnh, chiến lược phát triển, quy hoạch và kế hoạch dài hạn, trung hạn, hàng năm về ngành thương mại.
- Ban hành văn bản quy phạm pháp luật: Ban hành theo thẩm quyền các quyết định, chỉ thị, thông tư hướng dẫn thực hiện các quy định của Nhà nước về quản lý thương mại, tiêu chuẩn chất lượng hàng hóa và dịch vụ thương mại.
- Quản lý hoạt động xuất nhập khẩu: Cấp và thu hồi các loại giấy phép xuất nhập khẩu, quản lý hạn ngạch xuất nhập khẩu, hướng dẫn và kiểm tra các doanh nghiệp thực hiện hoạt động kinh doanh đối ngoại theo đúng quy định pháp luật.
- Quản lý thị trường trong nước: Tổ chức theo dõi, kiểm tra việc chấp hành pháp luật thương mại của các tổ chức, cá nhân kinh doanh; thực hiện các biện pháp chống buôn lậu, gian lận thương mại, đầu cơ, tích trữ và lành mạnh hóa môi trường cạnh tranh.
- Hợp tác quốc tế: Đại diện cho Chính phủ tham gia các tổ chức thương mại quốc tế, đàm phán và ký kết các hiệp định thương mại song phương, đa phương theo sự ủy quyền của Chính phủ.
- Đào tạo và phát triển nguồn nhân lực: Chỉ đạo công tác nghiên cứu khoa học thương mại, ứng dụng công nghệ thông tin và tổ chức đào tạo, bồi dưỡng nghiệp vụ cho đội ngũ cán bộ, công chức, viên chức trong ngành.
Cơ cấu tổ chức bộ máy của Bộ Thương mại
- Các đơn vị giúp Bộ trưởng thực hiện chức năng quản lý nhà nước: Bao gồm các Vụ chuyên môn (Vụ Chính sách thương mại đa biên, Vụ Thương mại châu Á - Thái Bình Dương, Vụ Thương mại châu Âu, Vụ Thương mại châu Mỹ, Vụ Thương mại châu Phi, Tây Á, Nam Á, Vụ Kế hoạch, Vụ Pháp chế, Vụ Tổ chức cán bộ), Thanh tra Bộ và Văn phòng Bộ.
- Các tổ chức sự nghiệp trực thuộc: Gồm các viện nghiên cứu chuyên ngành, các trường đào tạo, bồi dưỡng cán bộ thương mại, cơ quan báo chí, tạp chí chuyên ngành phục vụ công tác thông tin và nghiên cứu của Bộ.
Hiệu lực thi hành
Nghị định số 95-CP có hiệu lực thi hành kể từ ngày ban hành. Các quy định trước đây trái với Nghị định này đều bãi bỏ. Bộ trưởng Bộ Thương mại, các Bộ trưởng, Thủ trưởng cơ quan ngang Bộ, cơ quan thuộc Chính phủ và Chủ tịch Ủy ban nhân dân các tỉnh, thành phố trực thuộc Trung ương chịu trách nhiệm thi hành Nghị định này.

DECREE
ON THE FUNCTIONS, DUTIES, POWERS AND ORGANIZATIONAL STRUCTURE OF THE MINISTRY OF TRADE
THE GOVERNMENT
- Pursuant to the Law on Organization of the Government dated September30, 1992 ;
- Pursuant to Government Decree No.15-CP dated March 2, 1993 on duties,powers and responsibilities for exercising State management of the ministries andministerial-level offices ;
- In consideration of the proposals of the Minister of Trade and theMinister-Head of the Government's Committee on Organization and Personnel,
DECREES:
Article 1. The Ministry of Trade is a Government agency whichexercises State management over trade activities (which consist of export, import, tradingin materials and consumer goods and providing commercial services) affiliated to anyeconomic sectors in the whole country, including commercial activities of the foreignorganizations and individuals which are permitted to operate in Vietnam.
Article 2. The Ministry of Trade shall implement the duties, powersand State management responsibilities of the Ministries and Ministerial-level offices asstipulated in Government Decree No.15-CP dated March 2, 1993. They are:

- Granting export/import permits to joint ventures with foreigners inaccordance with the Law on Investment;
- Exercising State management over consultative and intermediaryactivities, trade fairs and advertisements, goods display and other commercial promotionsinside and outside the country;
- Coordinating with the concerned agencies in reviewing and grantingapproval of projects for indirect trade investments;
- Considering and giving permission to Vietnamese economicorganizations to appoint their representatives to, or establish companies and branches inforeign countries, or join international economic organizations;
- Considering and giving permission to foreign economic organizationsto establish their representative offices, companies or branches in Vietnam;
- Exercising management over and giving professional advise toVietnamese trade or economic representative offices abroad.
2. Drafting regulations on management of commercial operations andservices in the country, as well as plans and policies on commercial developmentapplicable to mountainous, highland and ethnic minority areas to be submitted to theGovernment for promulgation or promulgating the same in accordance with its authority.
3. Organizing and directing the implementation of plans on scientificresearch, application of scientific and technological advances to the commercialactivities.
4. Receiving, processing and providing all information relating toeconomic and commercial activities from inside and outside the country to assist in thedirections of the Government and economic organizations.

6. Providing professional guidance and direction to the local officeswhich exercise State management over commercial activities.

II. NON-PROFIT BODIES UNDER THE MINISTRY:

3. A list of other non-profit units (in the attached appendix) whichare
re-organized by the Minister of Trade shall be submitted to the PrimeMinister of the Government for decision after being advised in writing by the relevantagencies and appraised by the Government's Committee on Organization and Personnel.
III. Regarding the State-owned enterprises under the Ministry, theMinistry shall be responsible to re-arrange them in accordance with Decree No.388 - HDBTdated 20 November 1991 by the Council of Ministers and to submit the same to the PrimeMinister of the Government for decision.
The Minister of Trade shall specify duties, rights and specificquantity of staff of the units under the Ministry on the basis of the total quantity ofstaff of the Ministry which have been approved.
Article 4. The Ministry of Trade shall be lead by the Minister whois assisted by the Vice Ministers.
The Minister of Trade shall report to the National Assembly and thePrime Minister of the Government for all activities of the Ministry. The Vice Ministersshall report to the Minister for their assigned tasks.

Article 6. The Minister of Trade, other ministers, the heads of theministerial-level agencies and other offices under the Government and the presidents ofthe People's Committees of the provinces and centrally-ruled cities are responsible forthe implementation of this Decree.
