Ngày 01 tháng 06 năm 2012, Bộ Công Thương đã ban hành Quyết định số 3025/QĐ-BCT về việc thành lập Công ty mẹ - Tổng công ty Phát điện 3 (EVNGENCO 3). Đây là một quyết định mang tính chiến lược nhằm tái cơ cấu ngành điện lực Việt Nam, tối ưu hóa năng lực sản xuất điện năng và từng bước hình thành thị trường phát điện cạnh tranh theo lộ trình của Chính phủ.
Quyết định này áp dụng trực tiếp đối với Tập đoàn Điện lực Việt Nam (EVN), Tổng công ty Phát điện 3, các đơn vị thành viên hạch toán phụ thuộc, các công ty con do Tổng công ty nắm giữ cổ phần chi phối, cùng các tổ chức, cá nhân có liên quan đến quá trình thành lập, tổ chức và hoạt động của Tổng công ty.
- Hình thức pháp lý, tên gọi và trụ sở chính
- Tổng công ty Phát điện 3 được tổ chức dưới hình thức Công ty trách nhiệm hữu hạn một thành viên do Tập đoàn Điện lực Việt Nam sở hữu 100% vốn điều lệ.
- Tên gọi đầy đủ bằng tiếng Việt: Tổng công ty Phát điện 3.
- Tên giao dịch quốc tế: Power Generation Corporation 3 (viết tắt là EVNGENCO 3).
- Trụ sở chính của Tổng công ty được đặt tại Khu công nghiệp Phú Mỹ 1, thị trấn Phú Mỹ, huyện Tân Thành (nay là thị xã Phú Mỹ), tỉnh Bà Rịa - Vung Tau.
- Tổng công ty có tư cách pháp nhân đầy đủ theo pháp luật Việt Nam, có con dấu riêng, tài khoản riêng mở tại các ngân hàng trong và ngoài nước, hoạt động theo Điều lệ tổ chức và hoạt động do Tập đoàn Điện lực Việt Nam phê duyệt.
- Ngành, nghề kinh doanh và mục tiêu hoạt động
- Ngành, nghề kinh doanh chính: Sản xuất và kinh doanh điện năng; đầu tư và quản lý vốn các dự án nguồn điện; quản lý, vận hành, sửa chữa, bảo dưỡng, thí nghiệm, hiệu chỉnh, cải tạo, nâng cấp thiết bị điện, cơ khí, điều khiển và tự động hóa thuộc các nhà máy điện; dịch vụ tư vấn quản lý dự án, tư vấn giám sát và thiết kế các công trình nguồn điện.
- Ngành, nghề liên quan: Kinh doanh nhiên liệu, nguyên vật liệu phục vụ cho sản xuất điện; xây lắp các công trình nguồn điện; đào tạo nguồn nhân lực chuyên ngành vận hành, sửa chữa thiết bị nhà máy điện.
- Mục tiêu hoạt động: Đảm bảo vận hành an toàn, tin cậy và hiệu quả các nhà máy điện được giao; tối ưu hóa hiệu quả sử dụng vốn; bảo toàn và phát triển vốn nhà nước đầu tư tại Tổng công ty; đáp ứng nhu cầu điện năng phục vụ phát triển kinh tế - xã hội và an ninh quốc phòng của đất nước.
- Cơ cấu tổ chức quản lý và bộ máy điều hành
- Cơ cấu quản lý của Tổng công ty bao gồm: Hội đồng thành viên, Tổng giám đốc, các Phó Tổng giám đốc, Kiểm soát viên và bộ máy giúp việc (các phòng, ban chuyên môn nghiệp vụ).
- Hội đồng thành viên là đại diện trực tiếp của chủ sở hữu EVN tại Tổng công ty, thực hiện các quyền và nghĩa vụ của chủ sở hữu, chịu trách nhiệm trước EVN và pháp luật về mọi hoạt động của Tổng công ty.
- Tổng giám đốc là người đại diện theo pháp luật của Tổng công ty, điều hành hoạt động hàng ngày theo mục tiêu, kế hoạch và các nghị quyết, quyết định của Hội đồng thành viên.
- Cơ cấu tổ chức của Công ty mẹ và các đơn vị thành viên
- Các đơn vị hạch toán phụ thuộc Công ty mẹ: Công ty Nhiệt điện Phú Mỹ, Công ty Thủy điện Buôn Kuốp, Ban Quản lý dự án Nhiệt điện 1, Ban Quản lý dự án Nhiệt điện 2, Ban Quản lý dự án Thủy điện 6.
- Các công ty con do Tổng công ty nắm giữ trên 50% vốn điều lệ: Công ty Cổ phần Nhiệt điện Bà Rịa, Công ty Cổ phần Nhiệt điện Ninh Bình, Công ty Cổ phần Nhiệt điện Phả Lại, Công ty Cổ phần Thủy điện Thác Bà.
- Các công ty liên kết do Tổng công ty nắm giữ dưới 50% vốn điều lệ: Các doanh nghiệp cổ phần hóa từ các đơn vị thành viên hoặc các công ty liên kết khác được chuyển giao quyền đại diện phần vốn góp từ Tập đoàn Điện lực Việt Nam sang Tổng công ty Phát điện 3.
- Tổ chức thực hiện và điều khoản chuyển tiếp
- Tập đoàn Điện lực Việt Nam có trách nhiệm xây dựng, phê duyệt Điều lệ tổ chức và hoạt động của Tổng công ty Phát điện 3; bổ nhiệm các chức danh lãnh đạo chủ chốt gồm Chủ tịch và các thành viên Hội đồng thành viên, Tổng giám đốc, Kiểm soát viên.
- Thực hiện việc bàn giao nguyên trạng tài sản, nguồn vốn, lao động và các dự án đầu tư từ EVN và các đơn vị liên quan sang Tổng công ty Phát điện 3 theo đúng quy định của pháp luật về quản lý tài chính và tài sản nhà nước.
Quyết định số 3025/QĐ-BCT có hiệu lực thi hành kể từ ngày ký (ngày 01 tháng 06 năm 2012). Chánh Văn phòng Bộ, các Vụ trưởng thuộc Bộ Công Thương, Hội đồng thành viên Tập đoàn Điện lực Việt Nam, và các cơ quan, đơn vị có liên quan chịu trách nhiệm thi hành Quyết định này.

THE MINISTER OF INDUSTRY AND TRADE
Pursuant to the Government’s Decree No.187/2007/ND-CP, of December 27, 2007 defining the functions, tasks, powers and organizational structure of the Ministry of Industry and Trade, has been adjusted and supplemented by the Government’s Decree No. 44/2011/ND-CP, of June 14, 2011;
Pursuant to the Government’s Decree No. 111/2007/ND-CP,of June 26, 2007 on organization and management of state-owned corporations and transformation of state-owned corporations, independent state-owned companies, parent companies being state-owned companies upon the form of parent - subsidiary companies operating under the Law on Enterprise;
Pursuant to the Official Dispatch No. 138/TTg-DMDN, of February 03, 2012 of the Prime Minister on establishment of power generation corporations directly managed by the Electricity of Vietnam Group;

1. The mother company – Power Generation Corporation 3 (hereinafter abbreviated as EVN GENCO 3) is a one member limited liability company and 100% of charter capital is owned by EVN. It operates under the Enterprise Laws, has a legal status, a seal and logo, and organizational and operational charter. It has branches and representative offices in accordance with the laws. It is eligible to open accounts in the State Treasury and banks. GENCO 3 does activities in production – business and investment in its subsidiary companies and associate companies by itself. It inherits legal rights and obligations which are transferred by the One Member Limited Liability Company of Phu My Thermal Power and EVN in the course of receiving related companies and the rights of representative of owner on state capital at power generation companies. It has responsibility to maintain and develop state capital in the parent company and invested capital in subsidiary and associate companies.

Rights and obligations of the mother company; organization, management of the mother company; relationship between subsidiary companies and associate companies; relationship between the mother company with EVN and competent state agencies stipulated in the Charter on organization and operation of the mother company.

2. Deciding on appoint titles as President, controllers; accepting appoint on title of general director of the mother company as prescribed by law, the Charter on organization and operation of EVN and of the mother company - Power Generation Corporation 3.
3. Deciding on transfer of rights and obligations of the representative of owner of state capital in one-member limited liability companies, joint-stock companies; transfer of dependent accounting companies, management boards of project, relevant investment projects stated in clause 6, 7, 8, 9, Article 1 of this Decision by EVN for the mother company – Power Generation Corporation 3 as prescribed by law.
4. Deciding on assign the charter capital for the mother company as prescribed after reaching uniform of the Ministry of Industry and Trade and the Ministry of Finance. Deciding on supplementation of business trades and adjustment of charter capital for the mother company during the operation course as prescribed by law and the Charter of EVN.
5. Exploiting procedures relating to guarantee of foreign loans for investment projects of Power Generation Corporation 3, in the near future, for three years, since the Corporation put in operation officially as prescribed by law.
6. Directing to formulate business and trade plans, financial schemes of the mother company – Power Generation Corporation 3, ensuring sufficient resource to pay loan debt as prescribed, reporting to the Ministry of Industry and Trade and relevant ministries for consideration before December 31, 2012.
Article 3. This decision effects from its signing.
The Chief of the Ministry Office, the Chief Inspector, directors of ministerial departments, general director of Energy deparment, Member assembly, General Director of EVN, president, General Director of Power Generation Corporation 3 and heads of relevant units shall implement this Decision.
