Quyết định số 3024/QĐ-BCT ban hành ngày 01 tháng 06 năm 2012 bởi Bộ Công Thương là một văn bản pháp lý quan trọng trong lộ trình tái cơ cấu ngành điện lực Việt Nam. Quyết định này chính thức quy định về việc thành lập Công ty mẹ - Tổng công ty Phát điện 2 (gọi tắt là GENCO 2), đánh dấu bước chuyển đổi lớn trong mô hình quản lý và vận hành các đơn vị phát điện thuộc Tập đoàn Điện lực Việt Nam (EVN).
Thông tin tổng quan về văn bản pháp lý

1. Địa vị pháp lý và hình thức tổ chức (Điều 1)
- Xác định việc thành lập Công ty mẹ - Tổng công ty Phát điện 2 là công ty trách nhiệm hữu hạn một thành viên do Tập đoàn Điện lực Việt Nam sở hữu 100% vốn điều lệ.
- Quy định tên gọi đầy đủ, tên giao dịch quốc tế, tên viết tắt và địa chỉ trụ sở chính của Tổng công ty nhằm định danh pháp lý rõ ràng trong các giao dịch dân sự và thương mại.
- Xác định tư cách pháp nhân của GENCO 2, có con dấu riêng, có tài khoản mở tại các ngân hàng theo quy định của pháp luật và hoạt động độc lập theo Luật Doanh nghiệp.
2. Mục tiêu hoạt động và ngành nghề kinh doanh (Điều 2)
- Mục tiêu hoạt động: Đảm bảo sản xuất điện an toàn, ổn định và hiệu quả; thực hiện các dự án đầu tư nguồn điện mới theo quy hoạch phát triển điện lực quốc gia; tối ưu hóa hiệu quả sử dụng vốn của nhà nước đầu tư tại doanh nghiệp.
- Ngành nghề kinh doanh chính: Tập trung vào lĩnh vực sản xuất và kinh doanh điện năng; đầu tư và quản lý các dự án nguồn điện; vận hành, bảo dưỡng, sửa chữa các thiết bị nhà máy điện.
- Ngành nghề liên quan: Cung cấp các dịch vụ kỹ thuật, tư vấn quản lý dự án nguồn điện, đào tạo nguồn nhân lực chuyên ngành và các hoạt động kinh doanh khác phù hợp với quy định của pháp luật.
3. Vốn điều lệ và cơ cấu tài chính ban đầu (Điều 3)
- Xác định mức vốn điều lệ ban đầu của Công ty mẹ - Tổng công ty Phát điện 2 tại thời điểm thành lập, được chuyển giao từ các nguồn vốn hợp pháp của Tập đoàn Điện lực Việt Nam.
- Quy định nguyên tắc bàn giao tài sản, nguồn vốn, công nợ và lao động từ các đơn vị thành viên được sáp nhập hoặc chuyển giao về GENCO 2 quản lý, bảo đảm không làm gián đoạn hoạt động sản xuất.
4. Cơ cấu tổ chức quản lý và điều hành (Điều 4)
- Thiết lập mô hình quản trị của Công ty mẹ bao gồm Hội đồng thành viên, Kiểm soát viên, Tổng giám đốc và các Phó Tổng giám đốc cùng bộ máy giúp việc (các phòng, ban chuyên môn).
- Quy định thẩm quyền, trách nhiệm của Hội đồng thành viên và Tổng giám đốc trong việc quản lý, điều hành hoạt động sản xuất kinh doanh hằng ngày của Tổng công ty, đảm bảo tuân thủ các quy định của pháp luật về quản lý vốn nhà nước tại doanh nghiệp.
Ý nghĩa của quyết định đối với ngành điện lực
Việc ban hành Quyết định số 3024/QĐ-BCT không chỉ đặt nền móng pháp lý vững chắc cho sự hoạt động của GENCO 2 mà còn là bước đi chiến lược nhằm tách bạch chức năng phát điện với truyền tải và phân phối điện. Điều này tạo tiền đề quan trọng cho việc hình thành thị trường phát điện cạnh tranh tại Việt Nam, thu hút các nguồn lực đầu tư trong và ngoài nước vào hạ tầng năng lượng quốc gia.

Pursuant to the Government’s Decree No.187/2007/ND-CP, of December 27, 2007 defining the functions, tasks, powers and organizational structure of the Ministry of Industry and Trade, has been adjusted and supplemented by the Government’s Decree No. 44/2011/ND-CP, of June 14, 2011;
Pursuant to the Government’s Decree No. 111/2007/ND-CP,of June 26, 2007 on organization and management of state-owned corporations and transformation of state-owned corporations, independent state-owned companies, parent companies being state-owned companies upon the form of parent - subsidiary companies operating under the Law on Enterprise;
Pursuant to the Official Dispatch No. 138/TTg-DMDN, of February 03, 2012 of the Prime Minister on establishment of power generation corporations directly managed by the Electricity of Vietnam Group;

1. The mother company – Power Generation Corporation 2 (hereinafter abbreviated as EVN GENCO 2) is a one member limited liability company and 100% of charter capital is owned by EVN. It operates under the Enterprise Laws, has a legal status, a seal and logo, and organizational and operational charter. It has branches and representative offices in accordance with the laws. It is eligible to open accounts in the State Treasury and banks. GENCO 2 does activities in production – business and investment in its subsidiary companies and associate companies by itself. It inherits legal rights and obligations which are transferred by the One Member Limited Liability Company of Can Tho Thermal Power and EVN in the course of receiving related companies and the rights of representative of owner on state capital at power generation companies. It has responsibility to maintain and develop state capital in the parent company and invested capital in subsidiary and associate companies.

5. Rights and obligations of the mother company; organization, management of the mother company; relationship between subsidiary companies and associate companies; relationship between the mother company with EVN and competent state agencies stipulated in the Charter on organization and operation of the mother company.

1. Deciding on approving the Charter on organization and operation, Regulation on financial management of the mother company in conformity with provisions of law and the Charter on organization and operation of EVN.
2. Deciding on appoint titles as President, controllers; accepting appoint on title of general director of the mother company as prescribed by law, the Charter on organization and operation of EVN and of the mother company - Power Generation Corporation 2.
3. Deciding on transfer of rights and obligations of the representative of owner of state capital in one-member limited liability companies, joint-stock companies; transfer of dependent accounting companies, management boards of project, relevant investment projects stated in clause 6, 7, 8, 9, Article 1 of this Decision by EVN for the mother company – Power Generation Corporation 2 as prescribed by law.
4. Deciding on assign the charter capital for the mother company as prescribed after reaching uniform of the Ministry of Industry and Trade and the Ministry of Finance. Deciding on supplementation of business trades and adjustment of charter capital for the mother company during the operation course as prescribed by law and the Charter of EVN.
5. Exploiting procedures relating to guarantee of foreign loans for investment projects of Power Generation Corporation 2, in the near future, for three years, since the Corporation put in operation officially as prescribed by law.
6. Directing to formulate business and trade plans, financial schemes of the mother company – Power Generation Corporation 2, ensuring sufficient resource to pay loan debt as prescribed, reporting to the Ministry of Industry and Trade and relevant ministries for consideration before December 31, 2012.
Article 3. This decision effects from its signing.
The Chief of the Ministry Office, the Chief Inspector, directors of ministerial departments, general director of Energy deparment, Member assembly, General Director of EVN, president, General Director of Power Generation Corporation 2 and heads of relevant units shall implement this Decision.
